New PA Business Annual Reports Requirements - SBDC Webinar Scheduled

On November 3, 2022, Governor Wolf signed into law Act 122 of 2022.  Among the many changes made by this legislation, Act 122 created an annual reporting requirement for most domestic and foreign filing associations. The new Annual Report filing begins in calendar year 2025.

Starting January 1, 2025, most PA businesses must file an Annual Report with the PA Department of State.

Key Details:

· Required for corporations, LLCs, LPs, LLPs, and trusts.

· Info needed: Business name, addresses, entity number, and at least one governor’s name.

· Deadlines:

· Corporations: Jan 1 - June 30

· LLCs: Jan 1 - Sept 30

· Others: Jan 1 - Dec 31

· Fee: $7 (nonprofits file for free).

· File online at file.dos.pa.gov.

Non-Compliance:

· Missing the deadline may result in dissolution or loss of business name rights.
